TalentPass Beta Participation Agreement

Effective Date: June 1, 2025

This Beta Participation Agreement (“Agreement”) is entered into by you (“Participant,” “you,” or “your”) and Gobekli Inc. (“Gobekli,” “we,” “us,” or “our”) and governs your participation in the Beta version of TalentPass, a platform developed by Gobekli to explore, visualize, and verify human talent through structured self-reflection, AI guidance, and optional organizational engagement.

By accessing or using the Beta version of TalentPass, you agree to be bound by this Agreement, the TalentPass [Terms of Service], and the [Privacy Policy], which are hereby incorporated by reference. If you do not agree, you may not participate in the Beta Program.

1. Purpose and Definitions

1.1 Beta Program
 This Agreement governs your participation in Gobekli’s limited release Beta Program for TalentPass (“Beta Program”), which provides early access to pre-release software, features, and services for testing, evaluation, and feedback purposes.

1.2 Platform
 “Platform” refers to the Beta version of TalentPass and all related modules, including the Talent Tree, Pythia AI, Passport Pages, and any associated interfaces or tools made available as part of the Beta Program.

1.3 Non-Transferable
 Your participation is personal to you and may not be sold, assigned, sublicensed, or transferred to anyone else without Gobekli’s prior written consent.

2. Eligibility and Acceptance

2.1 Minimum Age and Consent
 You must be at least 13 years of age (or older if required by law in your jurisdiction) to participate. If you are under 18, you must obtain the consent of a parent or legal guardian. You affirm that you are not prohibited from receiving services under the laws of the United States or your jurisdiction.

2.2 Acceptance
 By clicking “accept,” installing, or using any portion of the Beta Platform, you agree to be legally bound by this Agreement.

2.3 No Employment or Partnership
 This Agreement does not create a partnership, joint venture, employment, or agency relationship between you and Gobekli.

3. Nature of Beta Software

3.1 Experimental Features
 The Platform provided under the Beta Program is pre-release software and is not a final product. It may contain bugs, errors, or other issues and is made available solely for the purpose of evaluating performance and functionality.

3.2 No Expectation of Stability or Continuity
 Gobekli makes no guarantees that any features or data will remain available. Functionality may change, degrade, or be removed at any time, without prior notice. Data loss, service interruptions, or feature failure may occur.

3.3 No Obligation to Launch
 Participation in the Beta Program does not guarantee access to any future release or feature of TalentPass. Gobekli is not obligated to make the Beta Platform generally available.

4. Limited License and Use Restrictions

4.1 License Grant
 Subject to your compliance with this Agreement, Gobekli grants you a limited, revocable, non-exclusive, non-transferable license to use the Beta Platform solely for personal, non-commercial testing and evaluation.

4.2 Restrictions
 You agree not to:

  • Modify, decompile, disassemble, or reverse engineer the Platform;
  • Copy, distribute, rent, or sublicense the Platform;
  • Use the Platform to develop competing products;
  • Circumvent access or security restrictions;
  • Engage in abusive, harassing, or illegal behavior through the Platform;
  • Share access credentials with unauthorized users.

5. Confidentiality

5.1 Confidential Materials
 You agree that all non-public information related to the Beta Program—including features, functionality, user interface, documentation, bug reports, and feedback—is confidential and proprietary to Gobekli.

5.2 Non-Disclosure Obligation
 You may not disclose, publish, or share confidential information with any third party without prior written consent from Gobekli. This includes screenshots, recordings, technical specs, or any description of unreleased features.

5.3 Exclusions
 This confidentiality obligation does not apply to information that:

  • Was already lawfully known to you without obligation of confidentiality;
  • Becomes publicly available through no fault of yours;
  • Is disclosed with Gobekli’s written permission.

6. Feedback and Ownership

6.1 Voluntary Feedback
 You may provide suggestions, comments, bug reports, or other feedback related to the Beta Platform (“Feedback”). Providing Feedback is entirely voluntary.

6.2 License to Gobekli
 You grant Gobekli a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and otherwise exploit your Feedback for any purpose, including improving TalentPass, training AI systems, and developing new products. You waive any right to compensation, credit, or ownership in connection with your Feedback.

6.3 No Obligation to Use
 Gobekli is under no obligation to implement or respond to any Feedback you provide.

7. Data Collection and Privacy

7.1 Types of Data Collected
 As part of the Beta Program, Gobekli may collect:

  • Personal account data (name, email, login activity)
  • Content you enter into the Talent Tree or Profiles
  • Conversations with Pythia AI
  • Feature usage metrics, errors, and diagnostics
  • Feedback and interaction logs

7.2 Privacy Policy
 By participating in the Beta Program, you acknowledge and agree to the TalentPass [Privacy Policy], which explains how we collect, use, and protect your information.

7.3 AI and Behavioral Data
 Some anonymized interaction data may be used to improve the Pythia AI system. This includes logs of prompts, feedback, and usage patterns. No private data will be used to train public models or shared without your consent.

8. Passport Pages and Organizational Connections

8.1 Optional Connection
 You may be invited to connect your Beta account to a Passport Page generated by an institution such as a school, workforce program, or employer. Connecting is entirely optional and consent-based.

8.2 Shared Data
 If you opt in, the organization may view:

  • Your role or affiliation
  • Goals, milestones, or credentials linked to their program
  • Structured elements of your Talent Tree (as permitted)

Your private reflections, journaling, and AI interactions remain confidential unless explicitly shared by you.

8.3 Revoking Access
 You may disconnect your Passport Page at any time via your account settings. Once disconnected, future data will no longer be visible to the organization, though previously shared records may remain archived on their side.

9. Termination

9.1 By Gobekli
 Gobekli may suspend or terminate your access to the Beta Platform at any time, with or without cause, and without prior notice. This includes discontinuation of the Beta Program altogether.

9.2 By You
 You may withdraw from the Beta Program at any time by ceasing use and requesting account deletion via [support@gobekli.org].

9.3 Effect of Termination
 Upon termination:

  • Your access to the Platform ends
  • Any rights granted to you under this Agreement are revoked
  • Gobekli may retain anonymized data for research, security, or compliance purposes

Sections 5, 6, 9, 10, 11, and 12 will survive termination.

10. No Warranty

The Beta Platform is provided “as is” and “as available”, with no warranties of any kind, express or implied. Gobekli specifically disclaims:

  • Any warranty of merchantability, fitness for a particular purpose, or non-infringement;
  • Any guarantee that the Platform will be secure, error-free, or uninterrupted;
  • Any assurance that the Platform is suitable for use in regulated or high-risk environments.

You use the Beta Platform at your own risk.

11. Limitation of Liability

To the fullest extent permitted by law, Gobekli shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages;
  • Any loss of data, revenue, profits, or business interruption;
  • Any claims related to your use of, or inability to use, the Platform.

Gobekli’s total cumulative liability shall not exceed one hundred U.S. dollars ($100), regardless of the theory of liability.

12. Governing Law and Dispute Resolution

12.1 Governing Law
 This Agreement shall be governed by and construed under the laws of the State of California, without regard to its conflict of law principles.

12.2 Arbitration and Dispute Resolution
 Any dispute arising under or in connection with this Agreement shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will take place in San Francisco, California.

12.3 Class Action Waiver
 You agree to resolve disputes only on an individual basis. You may not bring a claim as a plaintiff or class member in a class, consolidated, or representative proceeding.

13. Miscellaneous

13.1 Entire Agreement
 This Agreement constitutes the entire agreement between you and Gobekli with respect to the Beta Program and supersedes all prior communications.

13.2 No Waiver
 Gobekli’s failure to enforce any right or provision shall not be deemed a waiver of such right or provision.

13.3 Severability
 If any provision of this Agreement is held to be unenforceable, the remaining provisions shall remain in full force and effect.

13.4 Assignment
 You may not assign this Agreement. Gobekli may assign it in the event of a merger, acquisition, or sale of assets.
